1. Technical Site Survey
All proposals are subject to a final technical site survey. Designs, specifications, and pricing are prepared based on initial site information provided or observed. Any variations identified (including but not limited to cabling challenges, power constraints, or structural conditions) may necessitate adjustments to the scope of works, pricing, and/or installation programme.
2. Quotation Validity & Scope
Quotations remain valid for 30 calendar days from the date of issue unless otherwise stated in writing. Prices are based on current supplier costs and availability and may be subject to change where such costs or availability vary prior to order placement. Only the goods, equipment, and services expressly itemised in the quotation are included. Third-party works (including electrical, structural, or decorative works) are excluded unless expressly stated.
3. Provisional Specifications
Quoted display products (e.g. televisions, projectors) are based on the best available forecast data at the time of quotation. Final equipment selections will usually be confirmed at least three weeks prior to installation (or sooner where possible) to ensure optimal performance and secure best available pricing.
4. Payment Terms
Unless otherwise agreed in writing, payment shall be made as follows:
– 50% deposit upon acceptance of quotation;
– 40% upon commencement of installation;
– 10% upon practical completion.
Work will not commence until the deposit has cleared in full. All interim and final invoices are due for payment within seven (7) days of issue. Time for payment is of the essence.
5. Ownership of Designs & Equipment
All intellectual property, including but not limited to system designs, drawings, and specifications, remains the property of AVL Technologies Ltd until payment is received in full. Title to all supplied equipment shall remain with AVL Technologies Ltd until all sums due under the contract are paid in cleared funds.
6. Installation & Site Access
The client shall ensure the installation site is ready, safe, and accessible at all agreed times. Additional costs and/or delays arising from restricted access, incomplete preparatory works, or interference by third-party contractors may be charged at AVL Technologies Ltd’s prevailing rates.
7. Variations & Change Requests
Any client-requested changes after acceptance of the quotation may incur additional costs and extend the programme. All such changes must be confirmed in writing by way of a formal variation order prior to implementation.
8. Scheduling & Delays
Installation dates are given in good faith as estimates only. Changes in supplier lead-times, site readiness, or third-party coordination may affect schedules. AVL Technologies Ltd shall not be held liable for any delays caused by factors outside its reasonable control.
9. Warranties
Manufacturer warranties apply to all equipment supplied. Installation workmanship is warranted for twelve (12) months from the date of completion. This warranty excludes faults caused by misuse, environmental factors, unauthorised alterations, or interference by third parties. Extended warranties and maintenance agreements are available upon request.
10. Support & Service
Aftercare support, routine maintenance, and/or remote monitoring services may be provided under separate agreement. Details and pricing are available upon request.
11. Liability & Insurance
AVL Technologies Ltd holds appropriate public liability and product liability insurance. Liability for any claim, whether in contract, tort (including negligence), or otherwise, shall be limited to the value of the contract. We shall not be liable for any indirect, incidental, or consequential losses (including but not limited to loss of profit, loss of revenue, or business interruption). Clients are advised to maintain their own property and business interruption insurance.
12. Confidentiality & Data Protection
All designs, pricing, and contractual documents are confidential and may not be disclosed to third parties without prior written consent. Personal data will be processed in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
13. Trading Entity
AVL Technologies Ltd (Company No. 09961673) is the contracting legal entity. ‘AudioVogue’ and ‘Harrogate Home Cinema’ are trading names of AVL Technologies Ltd. All contracts, invoices, warranties, and liabilities rest solely with AVL Technologies Ltd.
14. Acceptance of Terms
The client’s written or verbal instruction to proceed constitutes acceptance of these Terms & Conditions in their entirety and forms a binding contract under English law.
15. Project Photography
AVL Technologies Ltd may, with the client’s consent, take photographs of completed works for portfolio, training, and marketing purposes (including online and print media). Images will not identify the property address, client name, or personal details. Clients who do not wish photographs to be taken or used must notify AVL Technologies Ltd in writing before or during installation.
